HVAC Roll-Up Due Diligence Checklist – 47 Questions Every Buyer Must Ask
The 2026 HVAC acquisition market remains highly active. Capstone Partners reported in July 2026 that PE add-ons represented 41.3% of HVAC Services dealmaking year to date, while PKF O’Connor Davies said private-equity-backed consolidators continued to drive sector consolidation. PKF also identified recurring service revenue, differentiated market positions and attractive growth profiles as characteristics associated with stronger valuations.
That makes HVAC acquisition due diligence more important, not less. A roll-up buyer is not simply purchasing this year’s profit. The buyer is underwriting whether the same operating model can survive ownership transition, support acquisition debt, integrate into a platform and remain repeatable across future acquisitions.
A good HVAC M&A due diligence process therefore goes beyond accounting. It combines HVAC business due diligence, HVAC industry due diligence and HVAC investment due diligence with commercial and operational investigation. PwC similarly describes modern acquisition diligence as spanning financial, commercial, tax, operations, IT, cyber, insurance and human capital rather than relying on financial statements alone.
For an HVAC business acquisition or HVAC company acquisition, the following framework can serve as an HVAC acquisition checklist throughout the HVAC acquisition process and feed directly into HVAC business valuation, transaction structure and the wider HVAC roll-up strategy.

Financial and earnings quality questions
Financial diligence should establish the quality of earnings rather than merely confirm reported profit. HVAC businesses can have significant seasonality, different economics across maintenance, repair and installation, and owner-specific expenses that require careful normalisation. HVACR Business also recommends testing revenue verification, add-backs, working capital, AR ageing and trend changes rather than accepting seller-reported EBITDA at face value.
Ask these first:
- What percentage of revenue comes from maintenance agreements, emergency repairs, replacement installations, new construction and other service lines?
- What do monthly revenue, gross margin and EBITDA trends show for at least the previous three years, including shoulder-season performance?
- Can reported revenue be reconciled to the general ledger, bank deposits, invoices and tax filings?
- Which EBITDA add-backs are genuinely non-recurring, and what would replacement management actually cost after closing?
- What are gross margins by service line, branch, customer type and major job category?
- How much accounts receivable is current, 30, 60 and 90-plus days overdue, and what has historically been written off?
- How much working capital does the company require during peak and off-peak periods, and what should a normalised closing working-capital target be?
- How much revenue and gross profit come from the largest customer, top five customers and top ten customers?
- What debt, vehicle leases, equipment financing, liens, deferred payments or other liabilities exist?
- Are federal, state and local income, payroll and sales taxes filed and paid correctly, and are any audits or disputes outstanding?
The central question is simple: Would the business still produce acceptable cash flow after removing aggressive add-backs, funding realistic working capital and paying market-rate replacement management? PwC describes financial diligence in similar terms testing whether current performance is sustainable and identifying exposures that could affect pricing or transaction structure.
Operations, fleet and technology questions
Operational diligence determines whether the buyer is acquiring a scalable operating system or a collection of processes held together by the owner and a few experienced employees.
- Which CRM, dispatch, call-tracking, accounting and field-service systems run the company, and who owns the accounts, data and telephone numbers?
- What do call-answer, booking, cancellation, dispatch, technician utilisation and sales-conversion data reveal about operating performance?
- What are the age, mileage, ownership status, maintenance history and expected replacement date of every service vehicle?
- How is parts and refrigerant inventory counted and valued, and what portion is obsolete, slow-moving or unusable?
- Are recovery machines, gauges, vacuum pumps and other major tools properly maintained, calibrated where required and suitable for the refrigerants technicians now encounter?
- Who are the key distributors, OEMs and subcontractors, and could ownership change affect pricing, rebates, credit terms or dealer status?
- What percentage of jobs generate callbacks, warranty claims, rework or customer credits, and how much does that cost annually?
- Can current technician capacity handle peak demand without excessive overtime, subcontracting or delayed appointments?
- Are the shop, warehouse and other facilities owned or leased, and do lease assignment, renewal, relocation or deferred-maintenance issues create post-close costs?
These questions matter because hidden capital expenditure can consume cash that looked like acquisition upside. A target with impressive EBITDA but an ageing fleet, obsolete tools, poor scheduling data and unusually high callbacks may have materially weaker economics than its P&L suggests.
Workforce, licensing and culture questions
Technician diligence deserves the same attention as financial diligence. The U.S. Bureau of Labor Statistics projects HVAC mechanic and installer employment to grow 8% from 2024 to 2034 and estimates roughly 40,100 openings per year on average, including replacement needs. In a labour-constrained trade, losing key technicians after closing can therefore be difficult and expensive to reverse.
- Which contractor, mechanical, electrical or plumbing licences are required in every jurisdiction served, who holds them, and what changes at closing?
- Which technicians hold the EPA Section 608 certification required for work that can release regulated refrigerants? EPA confirms that technicians performing covered maintenance, service, repair or disposal activities must be certified.
- What are each employee’s tenure, compensation, commission structure, overtime pattern, benefits and role?
- What have technician and office-staff turnover been, which positions are currently vacant, and how long does recruitment normally take?
- Which relationships, technical knowledge, pricing decisions or operating processes depend on the seller or one key employee?
- Which technicians, managers and salespeople are at risk of leaving after the transaction, and what retention plan is required?
- How much installation or service work depends on independent contractors or subcontractors, and has worker classification been reviewed by qualified counsel?
- What do safety records, workers’ compensation claims, vehicle incidents and training records show about operational culture?
For covered employers, OSHA recordkeeping can include Forms 300, 300A and 301, making safety documentation a useful diligence input rather than relying only on management interviews.
Customer, contract and market questions
Customer diligence tests whether historical revenue will remain after the seller disappears. It should also test whether the roll-up thesis is based on genuine market opportunity rather than assumptions copied from the investment memorandum.
- How many active maintenance agreements exist, what revenue do they generate, and what are their historical renewal, cancellation and payment rates?
- What termination, renewal, price-escalation, assignment and change-of-control terms apply to major commercial customer contracts?
- What do customer cohorts show about repeat purchase, retention, frequency, average ticket and churn over time?
- Which channels generate leads, what does each channel cost, and how dependent is the business on one advertising platform, referral partner or home-warranty source?
- Who controls the Google Business Profile, website, domains, telephone numbers, social accounts and review profiles, and what does complaint history reveal?
- How do service, diagnostic and installation prices compare with local competitors, and how consistently is the company’s price book actually used?
- How attractive are the target’s core territories based on building stock, customer mix, local competition, replacement demand and adjacent trade opportunities?
- What do customers, distributors, competitors and experienced operators say when the seller’s market claims are independently tested?

Commercial and operational diligence commonly benefits from primary and secondary research, including interviews or surveys of customers, suppliers and competitors, particularly when the buyer is entering an unfamiliar market.
Legal, regulatory and roll-up integration questions
Legal diligence answers whether the business can actually transfer. Regulatory diligence asks what liabilities transfer with it. Roll-up integration asks a different question: even if the target is legally and financially sound, will combining it with the platform create the value assumed in the investment case?
- Are entity records, ownership documents, corporate approvals and equity interests complete and consistent with what the seller has represented?
- What litigation, threatened claims, warranty disputes, consumer complaints or employment matters are pending or historical?
- Were required permits obtained and final inspections completed for installation and replacement work?
- Are general liability, commercial vehicle, workers’ compensation, cyber and other relevant insurance policies adequate, and what does claims history show?
- Are there hazardous-material, refrigerant-storage, waste-disposal, underground-tank, property or other environmental issues that require specialist review?
- Can the company produce appropriate refrigerant-handling, recovery and compliance records, and has it received any Section 608 warning or enforcement action?
- Is the business operationally prepared for current refrigerant and equipment requirements, including technician training, tools, inventory and supplier availability?
This deserves particular attention in 2026. EPA’s Technology Transitions programme restricts higher-GWP HFCs in specified applications, but the rules have changed: a final rule effective 27 July 2026 removed the installation deadline for specified residential and light-commercial AC/heat-pump equipment manufactured domestically or imported before 1 January 2025. Buyers should therefore diligence actual manufacture dates, refrigerants and inventory rather than relying on an outdated blanket assumption about what can or cannot be installed.
DOE efficiency requirements also apply to residential central air conditioners and heat pumps, so product mix and installation practices should be checked against the current rules applicable to the target’s geography and equipment.
- How are CRM records, payment information, employee data, passwords and remote-access systems protected, and has the company experienced a material cyber incident?
- Which customer, supplier, lease, software and financing contracts require assignment or consent because of the transaction?
- How difficult will it be to migrate CRM, dispatch, accounting, payroll, phones, reporting and customer data into the buyer’s platform?
- Which projected synergies procurement, call-centre leverage, technician density, cross-selling, marketing or back-office consolidation are supported by evidence, and what will implementation cost?
- After adjusting EBITDA, near-term capex, working capital, retention expense and integration costs, does the purchase price still meet the buyer’s return threshold under a downside scenario?
The last question should govern the entire HVAC M&A decision. Due diligence is not successful because all 47 questions received answers. It succeeds when those answers change the investment decision where necessary.
